Co (MKS), Nissan has won a high-profile claim in the BVI High Court for recovery of a superyacht, as well as damages of US$32 million, against ex-Nissan CEO and Chairman Carlos Ghosn, his wife Carole Nahas Ghosn, and a BVI company Ms Ghosn controlled (styled Beauty Yachts).<\/p>\n<p style=\"font-weight: 400;\">Representing Nissan Motor Company (Nissan) and Nissan Middle East (NME), MKS had filed a substantive claim in the BVI for recovery of the superyacht\u00a0<em>Shachou<\/em>\u00a0(<em>The Boss<\/em>) \u2013 later styled\u00a0<em>The Twig<\/em>\u00a0\u2013\u00a0on the basis of evidence\u00a0indicating\u00a0that Mr Ghosn had acquired the vessel with US$32 million\u00a0wrongly taken from Nissan.<\/p>\n<p style=\"font-weight: 400;\">High Court Judge Gerhard Wallbank found in favour of the Claimants, ordering that:<\/p>\n<ul>\n<li style=\"font-weight: 400;\">Nissan has equitable title to the Yacht, which is held on constructive trust by Beauty Yachts for Nissan;<\/li>\n<li style=\"font-weight: 400;\">That (i) Mr. Ghosn pay Nissan and NME US$ 32 million; and (ii) Beauty Yachts pay Nissan and NME US$13.665 million as money had and received (subject to a bar on double recovery);<\/li>\n<li style=\"font-weight: 400;\">That the amount of a bribe paid be returned to Nissan, namely: (i) US$13.665 million against Beauty Yachts; and (ii) US$32 million against Mr. Ghosn personally (subject, again, to the bar against double recovery);<\/li>\n<li style=\"font-weight: 400;\">Damages of US$32 million are to be paid by Mr. Ghosn and Beauty Yachts to NME;<\/li>\n<li style=\"font-weight: 400;\">As against Mr. Ghosn, a declaration that the\u00a0secret commissions or bribes received are held on constructive trust; It was a pleasure to work with such a robust and professional set of colleagues.<\/p>\n<p style=\"font-weight: 400;\">A copy of the judgment can be viewed <a href=\"https:\/\/www.eccourts.org\/judgment\/nissan-motor-co-ltd-et-al-v-carlos-ghosn-et-al-2\">here<\/a>.<\/p>\n<h3 style=\"font-weight: 400;\"><strong>Background <\/strong><\/h3>\n<p style=\"font-weight: 400;\">In July 2019, MKS\u00a0was instructed by Nissan to urgently\u00a0investigate the status of a superyacht called\u00a0<em>Shachou\u00a0<\/em>(meaning\u00a0<em>The Boss<\/em>) \u2013 later styled\u00a0<em>The Twig<\/em>\u2013\u00a0on the basis of evidence\u00a0indicating\u00a0that\u00a0former Nissan CEO and Chairman Carlos Ghosn had acquired the vessel with money\u00a0wrongly taken from Nissan.<\/p>\n<p style=\"font-weight: 400;\">On behalf of Nissan, MKS swiftly moved the BVI Commercial\u00a0Court for a freeze order against the registered\u00a0title to the vessel, which subsequently froze the title to\u00a0the yacht. Nissan then filed a US$32 million claim\u00a0in the BVI for recovery of the yacht, as well as for damages against Mr Ghosn. The claim alleged that Ghosn\u00a0dishonestly breached his fiduciary duties\u00a0of loyalty and honesty owed to Nissan through his apparent misappropriation of funds held in Nissan&#8217;s CEO&#8217;s discretionary business development fund.
